Terms of Service

1. Agreement to Terms

By accessing or using OptimizerShop ("Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service.

2. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

You must provide accurate and complete information when creating your account and keep this information up to date.

3. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use automated means to access the Service without our permission
  • Reverse engineer or attempt to extract source code from the Service

4. Payment and Billing

Subscription fees are billed in advance on a monthly basis. All fees are non-refundable except where required by law. We use Stripe for payment processing and do not store your payment information on our servers.

You authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend or terminate your access to the Service.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

5. Data Handling

The Service accesses your Shopify store data to provide optimization services. We only request read and write access to product data. We do not access orders, customer information, or payment data.

All changes made to your products are logged and can be reviewed in your dashboard. You retain ownership of all your data.

6. Google Services Integration

The Service may offer optional integration with Google services including Google Search Console and Google Merchant Center. By connecting these services, you grant us read-only access to retrieve data necessary to optimize your store. You may disconnect these integrations at any time from your dashboard.

Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We only use Google data for the purposes described in our Privacy Policy and do not sell, share, or use this data for advertising.

7. Service Availability

We strive to maintain high availability but do not guarantee that the Service will be available at all times. We may perform maintenance, updates, or modifications that temporarily interrupt the Service.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by RDELLI CORP and are protected by international copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RDELLI CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months prior to the event giving rise to liability.

10. Termination

We may suspend or terminate your account if you violate these Terms or if we believe your use of the Service poses a risk to us or other users.

You may terminate your account at any time by contacting support or canceling your subscription through the dashboard.

Upon termination, your right to use the Service will immediately cease, but these Terms will continue to apply to any prior use of the Service.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where RDELLI CORP is registered, without regard to its conflict of law provisions.
